K+S Aktiengesellschaft hereby announces an invitation to holders of its outstanding notes due 2029 (ISIN: XS2844398482) to tender their notes for repurchase by the Company for cash up to an aggregate principal amount of EUR 150,000,000 (the "Solicitation").
The rationale for the Solicitation is to optimize the Company's liability and balance sheet structure, especially after the upward revision of the adjusted free cash flow guidance in connection with the publication of the Company's H1/2026 Half-Year Financial Report.
The tender offer period commences today, August 31, 2026, and is expected to expire at 5:00 p.m. CEST on September 7, 2026. The results of the tender offer are expected to be announced on September 8, 2026. Settlement of the tender offer is expected to occur on September 11, 2026.
The invitation to tender outstanding notes for repurchase is only valid and effective outside the United States. The Solicitation is not open to U.S. Persons.
