K+S Aktiengesellschaft announces the final results of its public offer to repurchase its outstanding notes due 2029 (ISIN: XS2844398482). By the expiration of the offer period on September 7, 2026 at 5:00 p.m. CEST, holders of the outstanding notes had validly tendered notes with an aggregate principal amount of €182.2 million for repurchase.
K+S accepted for repurchase notes with an aggregate principal amount of €150 million (30% of the outstanding notes). As the aggregate principal amount of notes validly tendered exceeded the stated maximum repurchase amount of €150 million, the validly tendered notes were accepted on a pro rata basis applying a scaling factor of 85.15%. The repurchase price under the offer was at 101.473%, plus accrued interest.
“With the successful bond repurchase, we have reduced K+S's financial liabilities by €150 million,” said Dr. Jens Christian Keuthen, Chief Financial Officer of K+S. “This transaction forms part of our ongoing efforts to optimize our financing and balance sheet structure, helping to ensure that K+S remains financially resilient and well positioned for the future.”
The settlement of the transaction is expected to take place on September 11, 2026. The notes repurchased by K+S will be cancelled and will not be reissued.
