Remuneration of the Board of Executive Directors & Supervisory Board

The main features of the remuneration systems for the Board of Executive Directors and the Supervisory Board, including the specific structure of the individual components are explained in the remuneration report. The remuneration of the members of the Board of Executive Directors and the Supervisory Board is disclosed on an individual basis and broken down by components.

Remuneration of the Board of Executive Directors

Criteria for the appropriateness of the remuneration of the members of the Board of Executive Directors are, in particular, the responsibilities and performance of the Board of Executive Directors, a comparison with senior executives in Germany, and the total workforce in Germany, as well as the financial situation, success and future prospects of the Company relative to its comparable peers (MDAX). The remuneration of the members of the Board of Executive Directors consists of annual components and components with a long-term incentive character.

The current remuneration system for the members of the Board of Executive Directors of K+S Aktiengesellschaft was approved by the Annual General Meeting on May 10, 2023 with the required majority.

Remuneration of the Supervisory Board

The remuneration of the Supervisory Board is governed by Article 12 of the Articles of Association. The members of the Supervisory Board receive an annual fixed remuneration and are also entitled to reimbursement of reasonable expenses necessary for the performance of their duties. The chairmanship and deputy chairmanship of the Supervisory Board as well as the chairmanship and membership of committees are considered separately.

The current remuneration system for the members of the Supervisory Board of K+S Aktiengesellschaft was resolved by the Annual General Meeting on May 10, 2023 with the required majorities.
